Terms of Service

1. Acceptance of Terms

These Terms form an agreement between you and [LEGAL ENTITY NAME], registered at [REGISTERED ADDRESS] ([COMPANY NUMBER]). By accessing or using the ZYNC portal, the operator console, the Telegram Mini App, or this website (together, the "Services"), you agree to them. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal data and forms part of this agreement.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into this agreement. By using the Services you represent that you meet both conditions, that you are not located in a jurisdiction subject to comprehensive sanctions, and that you are not named on any restricted-persons list. We do not verify your age when you sign up and rely on your representation; we verify identity and screen against sanctions lists when you request a withdrawal, and we may refuse or reverse a withdrawal, and close your account, if that check shows the representation was untrue.

3. User Accounts

You may create an account with an email address, a wallet you control, or a supported identity provider. You are responsible for everything done through your account, and for keeping control of whatever you sign in with.

  • You must provide accurate information and keep it current.
  • You must hold one account. Creating additional accounts to collect rewards more than once is a breach of these Terms.
  • You are responsible for the security of the wallet, email account, or provider account you sign in with. We never hold its keys or recovery phrase and cannot restore access to it.
  • Tell us promptly at legal@zyncd.in if you believe someone else has used your account. We are not liable for losses arising from your failure to keep your sign-in credentials secure, but nothing here limits liability we cannot exclude by law.

4. Platform Use

ZYNC is a protocol for verified real-world missions. You may use the Services to create Spaces, take part in missions, and earn rewards, subject to these Terms. Each Space is run by its own operator, who sets its rules and funds its rewards. We provide the platform; we are not a party to the relationship between you and an operator, and we do not guarantee an operator's conduct.

5. Campaigns and Missions

Campaigns are created and funded by Space operators. Eligibility and reward rules are set by the operator, and their rules apply in addition to these Terms. Where an operator's rules conflict with these Terms, these Terms prevail.

  • A reward is paid after the completion is verified, according to the rules published for that campaign.
  • We may withhold or void a reward obtained through fraud, automation, multiple accounts, or falsified evidence, and may reclaim it if it has already been paid.
  • Campaign availability, reward amounts, and rules may change, and a campaign may end or be withdrawn. A reward already verified and paid is not affected by a later change.
  • Verification is performed by automated checks, by signals from linked providers, and, where a campaign requires it, by review from the Space operator. A completion that fails verification does not pay.

6. Digital Assets and Wallets

You connect a wallet you already control. ZYNC never issues you a wallet passphrase or recovery phrase and never receives the keys to a wallet you connect, so we cannot move its funds, freeze it, or recover it for you if you lose access. Separately, ZYNC operates a platform-controlled wallet that credits the rewards you earn; we hold the keys to that wallet and to our treasury wallets, and we are responsible for their security. Withdrawals from platform-held balances are executed by us and may require identity verification and sanctions screening before they are released.

  • Points exist only in your Space balance today and may gain a portable form in the future.
  • ZYNC is earned through contribution. It is not for sale, no payment increases the amount you hold or the rate at which you earn it, and it carries no promise of monetary value, dividend, or return. Nothing in the Services is an offer of a security or an investment.
  • A transaction settled on a public blockchain is final and cannot be reversed by us.
  • You are responsible for determining and meeting any tax obligation arising from rewards you receive.

7. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Submit false or misleading mission evidence
  • Attempt to manipulate or exploit platform mechanics, rewards, or referral systems
  • Create multiple accounts to circumvent platform rules
  • Interfere with or disrupt the Services or servers
  • Engage in money laundering, terrorist financing, or other financial crimes

8. Intellectual Property

The Services, including all content, features, and functionality, are owned by ZYNC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

9. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or the lost value of digital assets. Our total liability arising out of or relating to the Services is limited to [LIABILITY CAP — SET WITH COUNSEL]. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. If you are a consumer, these Terms do not affect your statutory rights.

10. Termination

You may close your account at any time. We may suspend or terminate your access where you breach these Terms, where we are required to by law, or where we reasonably believe your conduct harms other members, an operator, or us. Where the law and the circumstances allow, we will give you notice and an opportunity to respond; we may act without notice where the conduct is ongoing abuse of verification or a suspected financial crime. On termination your right to use the Services ends, unpaid rewards obtained in breach of these Terms are forfeit, and the sections that by their nature survive, including liability, governing law, and our data-retention obligations, continue to apply. Closing your account is not the same as erasing your personal data; to erase it, follow the process in the Privacy Policy.

11. Governing Law

These Terms are governed by the laws of [GOVERNING LAW], without regard to conflict of law principles. Disputes will be subject to [DISPUTE FORUM AND MECHANISM — COURTS OR ARBITRATION; SET WITH COUNSEL, NOTING THAT MANDATORY ARBITRATION IS UNENFORCEABLE AGAINST CONSUMERS IN SOME JURISDICTIONS]. If you are a consumer resident in the European Union, you keep the protection of the mandatory rules of the law of your country of residence, and you may bring proceedings there.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform or via email. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
